Dealer is recommending valve adjustment and replacement of plugs and wants $ 420. Independent mechanic says valve adjustment is rare and doesn't recommend because of labor involved to remove alot of stuff to get to valves.

Need counsel - is this really necessary? Appreciate feedback

A valve adjustment? I don't think so.Your dealer is looking for a fast buck if you ask me.We did valve adjustments 30 years ago in the pre overhead camshaft days.I haven't heard of anyone doing valve adjustments in years. As for the plugs, if they are still the originals at 100K miles, I would change them. But not for +$400.00.
