Replacement exhaust...

Guys, I'm looking for recommendations. My exhaust has a leak before /at the catalytic converter, and I'm pretty sure the "downpipe" from the headers to the cat has holes rusted in it. I don't have huge HP aspirations or anything like that, this car is my DD. I just want it to sound nice and fit properly. I've been looking around at some "bolt-on" systems, and have tossed around the idea of replacing the headers on back.

How difficult is it to replace the headers and exhaust? I've got my fingers crossed it's all bolt-on, but a friend of mine seems to think otherwise.

What brand(s) to buy? I'm not looking to spend a ton of money (around 300, including headers), and I realize I'll get what I pay for, but it's just not in my budget to put half the cost of an engine into an exhaust system right now. Where do you guys recommend shopping from? Here is what I've found:

PB blaster and some tools,,,,, its bolt on stuff... but you need a cat / test pipe

I've got a test pipe, but it won't fit. If I go buy a cat, I have to get the mounts welded on, no?

buy headers, test pipe/cat. someone can weld on the flanges to the new cat, then a nice catback with silensor (for when you dont want loud exhaust)
