I'm trying to say that the second head unit has 4 preamps. That is the four stock speakers. The first one has 5 preamps, so I can hook up all 4 speakers to the head unit, and then one preamp to the amp to the sub.
I am saying I don't understand what Rear/Sub i saying. There are 2 rear speakers and 1 sub. Wouldn't that require 3 preamps in the head unit?

the second one does have 4 preamps.. what I'm saying is that if you are ONLY hooking up 1 amp, ie your sub amp, then you can just use the regular wires to power the internal speakers (without an amp) and use the rear/sub preouts to supply your sub's amp
If you are using both a 4 channel amp for your interior speakers, and a seperate mono amp for the sub, then you could use the front preouts to supply the first two channels, then, use the rear/sub preouts to supply the rear channels on the 4 channel amp, and then you would need a hi-lo converter and use the signal from the wires taht would supply your rear speakers, and attach the rca o the hi lo converter to your sub's amp
So, long story short, it would be better to go with the first unit... not only because it has more preouts, but its is just an all around better unit than the p4000dvd.. which is a piece of crap IMO!
