there are some nice threads about this elsewhere, but ill go over it in a nutshell..

Basically you have to remove the cross member from the car, unhook everything, and drop it from the bottom... Best way to do it to make sure you unplugged everything is to lower it down carefully and check and make sure nothing is plugged in.

to replace your best bet is to undo the cross member, and the transmission mounts, take off all wiring, hoses, air intake, exhaust (after manifold) unbolt the driveshaft from the differential, THEN slide it out of the trans (after removing the driveshaft bushing connected to the body of the car). Jack up the car as high as you possibly can (with a jack under the engine as well). were talking like.. 2-3... even 4 feet off the ground, and place the engine on a rolling cart // rolling layaround..

then reverse removal to install... change all fluids..

as a tip, if you dont want to redo the A/C, keep the compressor hooked up, and just unbolt it from the engine.

and for the love of god, save every bolt, and make sure you remember which plug goes where.. alot of them are one-only's.... but you can never be too anal about that.. nothing better than "Where does this grey 5 pin plug go?"

anywho, goodluck with it! on my 240, i pulled out the engine in like.. 1 hour, at home, with a floor jack, some cement blocks, and some extremly ball'sy friends. If my VH ever dies, im probably going to be swapping a vg30dett & auto swap.... or ill just buy a new 350z... i hope i never have to worry about it :p
