Any modification done after the cat is emissions legal. Some intakes do, i know HKS does, but ingen's does not. I have never heard of headers with the carb stickers (for 240sx). If you do go with headers you could heat rap the headers and say the the head sheild rusted off, that is what i plan to do. I would not have to worry about the headers because in Chicago they don't have visual, but i have gotten pulled over for "passing by" street races and they check for illegel mods and i have to worry about that. I have seen 240sx pass on dead cats so with I/H/E i don't think you will have problems.
