Drop in replacement for stock subwoofer?

I am looking at this subwoofer:

And it says the whole thing is only 3.4" deep. Anyone who has replaced the stock sub of been under there, do you know if this sub will be a direct drop in replacement without any other modifications to the mounting location and trunk? Obviously I will want a new amp for it, but I am most concerned about it fitting in the mounting location without modifications.
