Dude, just jack the car up no more than a half a foot, peek underneath, and see if you can rattle the metal shroud around the exhaust. If it rattles, obviously you want to take it off. This is common on older and worn 240's. No, you don't have to replace it. Just don't park on extremely dry grass. Some mentioned before they can feel the heat from the exhaust on the floor board after taking it off, but that's it. I personally never noticed it and would much rather have a warm floorboard than a loud *** rattle coming from underneath my car.
