I have a 99 maxima with a VQ30DE engine, that is about to hit 160k. I know this car has potential. What are somene suggestions. I would like to rebuild, and upgrade if possible! :) I like to go fast!

Welcome to NICO.

Y-pipe, high-flow cat, cat-back exhaust, intake, underdrive pulley, etc.

If you're looking to upgrade internals when rebuilding, look at JWT cams.

What about for a rebuild? What is a must to replace? Block, heads, all seals, pistons, rods?

The bottom end is capable of handling a lot more power than stock. I'd mainly look at seals, timing chain guides, etc.
