96 240sx, transmission issues *HELP*

I just picked up my first project car tonight, i knew the clutch needed to be replaced, but ofcourse 30 minutes after i pick it up i have problems. I was driving down the road and no matter what gear it was in, the car would not accelerate, just rev higher. Does this sound like simply needing a new clutch, or a whole new transmission? There was also a foul odor coming from the car. A friend of mine whose a lot more knowledgable than me says its just a bad clutch judging by the odor... any advice???

replace the clutch. a burning clutch smells an awful lot like an open sewer.
