90 240sx; rough grinding noise in reverse

When in reverse, there is a rough grinding noise and vibration. Feels maybe like the rear-end. If I slightly apply the break while backing up, it quits making the noise.

Also, The car shifts late from 1st to 2nd gear when cold. It seems to smooth out after it warms up but still doesn't seem quite right.

Any suggestions?

Problem one sounds like your break pads are warn out. Take a look at all your brake pads and see if any are on the sensors.
