2012 Convertible

Hello, just looking for some pricing advice. As the dealers are clearing the few remaining 2012's and putting incentives on them, I am wondering at what price would you consider too good to walk away on a 2012 G37 Convertible (54k sticker)? I wasn't really considering a new car until I came across this one. I don't care for the color combo much, black/black but I suppose that may be why it's the last one remaining.
